Indemnification

You agree to indemnify and hold Recovery Factors and its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (if any) harmless from any claim or demand, including reasonable attorneys’ fees, due to or arising out of your: (a) use of the website; (b) violation of this Agreement or any law or regulation; or (c) violation of any right of a third party.

Limitation of Liability

Notwithstanding any damages that you might incur, the entire liability of Recovery Factors and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you

General

(a) The laws of British Columbia (including the federal laws of Canada applicable in British Columbia) govern this agreement and all proceedings arising out of it, and the parties attorn to the exclusive jurisdiction of the British Columbia courts sitting in Vancouver, British Columbia.

(b) If any part or parts of this agreement is held unenforceable for any reason, the remainder of this agreement shall continue in full force and effect.
